This agreement is between WolfPak (ULTRUM DIGITAL LTD) ("we," "our," or "us") and you ("you"). By accessing or using our warehouse management software ("Service"), you agree to comply with and be bound by the following terms of use ("Terms"). Please read them carefully before using the Service.

Acceptance of Terms

By using the Service, you accept and agree to be bound by these Terms. If you do not agree with these Terms, you should discontinue use of the Service immediately.

The Subscription

Our Service is a subscription-based warehouse management software that provides various features to manage warehouse operations. The Service is provided on a monthly subscription basis, with fees payable on the first day of the software being used.

Access to software

During your active subscription term, we will provide you access to the Service you have subscribed to.

Limitations

Your subscription may come with Service limits as defined in the subscription package. Any usage over these limits will be payable as stated on the available pricing.

Add-ons

Addons to the Service are available at additional cost.

Changes & Modifications

We aim to keep the Service relevant and improvements are released from time to time. This can include adding new or removing old features to aid in your experience with our Service. We also may provide some features or elements which are accessed through third-party services or providers. While we aim to stay up to date with these providers, we are unable to guarentee access to their services.

Usage

You agree that you will not use the Service for any unlawful purpose, that you will not use the software in a manner that may damage, disable, overburden or impare the Service, that you will not attempt to gain unauthorised access to the Service or its associated Service and you will not use the software to unlawfully collect information about third parties.

You agree that you will not modify, translate, reverse engineer, decompile, disassemble or create derivative works of the Software or otherwise attempt to: (a) defeat, avoid, bypass, remove, deactivate or otherwise circumvent any software protection mechanisms in the Service: or (b) derive the source code or the underlying ideas, algorithms, structure or organisation form of the Software, without our express permission.

Customer Support

Our customer Service team are available to email 24/7 at support@wolfpak.co.nz - we attempt to reply to support requests within one business day. In practice, our responses are generally faster that this.

Custom Service / Consultancy

You may ask for custom work or consultancy. The cost of this varies and depends on the work asked. We will make effort to scope and quote your work as appropriately. The cost of this is seperate to the monthly subscription paid for the Service. The terms of this Service will be defined at the time of scoping. The fees for this Service are non-refundable.

Fees & Payments

You agree to pay for the subscription plan as noted at the time of subscribing.

Fees

The subscription fee will remain fixed during the period of the subscription term unless you exceed the limits specified in the Service (overage). When you exceed the limits specified, we will charge you at the rate for the overage at a pro-rata rate for the remainder of the month. The following month(s) will be the full rate for the overage.

Payments

You authorise us to take payment on the first day of the subscription period and each subsequent billing period. Invoices/receipts will be generated at this time.

Subscription Term

Initial Purchase of Subscription

The initial term of the subscription will begin on the day you purchase or initiate the start of the subscription to the Service.

Renewal

The renewal of the term of the subscription to the Service will be set on the terms noted during the purchase of the subscription.

End of Subscription

Unless either party gives notice of their intent to not renew the subscription, the renewal will take place as set in the terms at the time of the initial subscription. Should you decide not to renew the Service, you may send a notice of non-renewal to support@wolfpak.co.nz.

Publicity

You agree to grant us the right to use your name and company logo on our website.

Disclaimer of Warranty

By installing, accessing or otherwise using the Service you expressly acknowledge and agree that access to and use of the Service is at your sole risk. The Service is provided, to the extent permitted by law, on an "as is", “with all faults” and “as available” basis without warranty of any kind. You guarantee to us that you have not entered into this agreement in reliance on any representation made by us which is not recorded expressly in this agreement or on our website.

We do not warrant hat the functions contained in the Software will meet your requirements, or that the operation of the Software will be uninterrupted or errorfree, or that defects in the Software will be corrected.

Limitations of Liability

No Indirect Damages

To the extend permittable by law, in no event shall either party be liable for any indirect or consequential damages including lost profits or business opportunities.

Non Payment

We reserve the right to suspend access to our Service for non payment of your subscription fees. Unless a due date is specifically set, after (30 days) of non payment. If the subscription Service is suspended for non-payment and you require data that has not been imported due to suspension, we may charge you for this if you require it to be rectified.

We may revise these terms of use at any time. Any such revisions take effect when this page is published. Contact us for more information.
